Integration of Penzadecor und Prismadecor into the Schattdecor Group now complete

The integration that began two years ago of the two former joint venture companies Penzadecor (of Penza, Russia) and Prismadecor (of Głuchołazy, Poland) into the Schattdecor group has reached its final stage with incorporation of the two entities into existing Schattdecor companies. The Głuchołazy plant was assimilated into Schattdecor Sp. z o.o. of Tarnowo Podgórne effective January 1, 2008, and the Penza plant became part of <<OOO>> schattdecor in Schatura on January 10, 2008.
In the case of Prismadecor, this step marks legal consummation of the integration of the Polish company into the Schattdecor group, which began in 2006 after Schattdecor had acquired the remaining shares held by Walter Geiger effective December 31, 2005. Following the buyout, production of finish foil on the basis of pre-impregnated decor paper went on to be upgraded and expanded, and the Głuchołazy plant is now the world's largest supplier of foil products in this particular market segment thanks to the commitment of its employees. Over the past few years, the 'Made by Schattdecor' quality philosophy has also been introduced, resulting in gradual standardisation of basic materials, formulae and production parameters with the objective of achieving Made by Schattdecor quality. The plant has also gained a new production hall that not only features a lacquering unit built in 2003 and a new, state-of-the-art one made by Rotodecor, Schattdecor's machine building arm but also plenty of space to accommodate further lacquering lines, thus providing the Głuchołazy works with an impressive degree of productive capacity. In 2007, Głuchołazy produced over 100 million square metres of finish foil, which mainly went on to be printed at the Schattdecor plant in Tarnowo Podgorne. It was these close organisational and personnel links between the two that decided the case for legally integrating the Głuchołazy plant into the existing Schattdecor company in Tarnowo Podgórne.
In Russia, the Schattdecor subsidiary <<OOO>> Penzadecor of Penza was merged into <<OOO>> schattdecor of Schatura early on this year. The seat of enlarged company is currently in Schatura, but once the plant that Schattdecor is building in Chekhov takes up work, the headquarters will be moved to this location. Schattdecor will then have three plants in Russia – Chekhov and Penza for decor paper printing, and Schatura for impregnation. From mid-2008 on, Chekhov will be responsible for the central management of the Russian plants as well as both sales activities and administrative work.
The merger decision marks legal consummation of the integration of Penzadecor into the Schattdecor group, a process that began in 2002 and continued in early 2005 with Schattdecor's acquisition of the remaining shares held in the joint venture by Mayak, a Russian decor paper manufacturer. Although the Penza factory has always been highly successful as a producer of decor paper for customers in Russia, introduction of the Made by Schattdecor quality assurance system following the takeover brought about an optimisation of its production processes and secured product quality. At the same time as upgrading the printing activities in Penza, specialists from Schattdecor's parent plant in Thansau, Germany, also optimised decor base paper production at Mayak, thus creating one of the main prerequisites for the resounding success since achieved by the Penzadecor employees.
Due to the continual high demand for melamine foil on the Russian market, Schattdecor's management in Thansau last year decided to realign the wholly-owned subsidiary <<OOO>> schattdecor. This led to decommissioning of the printing machine previously in use at the works and handling of the work's standing decor paper orders from customers in Russia and neighbouring states by the Penza factory. At Schatura, the printing machine has been replaced by a new impregnation line, the third now in place – an ideal solution as the factory is now developing into a melamine foil competence centre for the Schattdecor group in Russia as a consequence.
Schattdecor is currently constructing a new decor paper printing plant in Chekhov, thus creating the prerequisites for supplying the Russian market with printed decor paper in European standard widths. Commissioning of the plant is planned for the middle of the year, and two Rotodecor printing machines are to be in operation by the end of 2008.
